Terms of Service | EnRoute Growth Platform (EGP)

ACCESS AND USE OF THIS PLATFORM IS PROVIDED BY ENROUTE GROWTH PLATFORM (EGP) TO YOU OR THE ENTITY YOU REPRESENT (“YOU” OR “YOUR”) ON THE CONDITION THAT YOU ACCEPT THESE TERMS OF SERVICE, AND BY ACCESSING OR USING THIS PLATFORM, YOU AGREE TO THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO ACCEPT AND ABIDE BY THESE TERMS OF SERVICE ON BEHALF OF THE ENTITY YOU REPRESENT YOU SHOULD NOT ACCESS OR USE THIS PLATFORM.

Section I. Acceptance of Terms

By accessing or using the EnRoute Growth Platform (“EGP”), you (“User”) agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use EGP.

Section II. Definitions

• “Platform”: The EGP website, applications, and services provided by EnRoute.

• “User”: Any individual or entity accessing or using the Platform.

• “Content”: All information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials available through the Platform.

Section III. Eligibility

Users must be at least 18 years old to access or use the Platform. By using EGP, you represent and warrant that you meet this age requirement.

Section IV. User Responsibilities

IV.1 Account Registration: Users must provide accurate, current, and complete information during registration and maintain the security of their account credentials.

IV.2 Prohibited Activities: Users agree not to:

• Use the Platform for any unlawful purpose.

• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.

• Interfere with or disrupt the Platform or servers or networks connected to the Platform.

• Engage in any activity that could harm or impair the Platform’s operation or security.

Section V. Intellectual Property Rights

All Content on the Platform, including but not limited to text, graphics, logos, and software, is the property of EnRoute Managed Services or its licensors and is protected by intellectual property laws. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal or internal business purposes only.

Section VI. Subscription and Fees

VI.1 Fees: Access to certain features of the Platform may require payment of subscription fees. All fees are non-refundable, as detailed in our Cancellation and Refund Policy.

VI.2 Changes to Fees: EnRoute Managed Services reserves the right to modify its fees and billing methods upon notice to Users. Continued use of the Platform after any such changes constitutes acceptance of the new fees.

Section VII. Termination

EnRoute Managed Services reserves the right to suspend or terminate a User’s access to the Platform at its sole discretion, without notice, for conduct that EnRoute Managed Services believes violates these Terms or is harmful to other Users, EnRoute Managed Services, or third parties, or for any other reason.

Section VIII. Disclaimers and Limitation of Liability

VIII.1 Disclaimers: The Platform is provided “as is” and “as available.” EnRoute Managed Services disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

VIII.2 Limitation of Liability: To the fullest extent permitted by law, EnRoute Managed Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your use or inability to use the Platform; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Platform; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Platform by any third party; (e) any errors or omissions in any Content or for any loss or damage incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available through the Platform; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

Section IX. Indemnification

Users agree to indemnify, defend, and hold harmless EnRoute Managed Services, its affiliates, officers, agents, and employees from any claim, demand, damages, or losses, including reasonable attorneys’ fees, arising out of or related to their use of the Platform, violation of these Terms, or violation of any rights of a third party.

Section X. Modifications to the Terms

EnRoute Managed Services reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the Platform after any such changes constitutes acceptance of the new Terms.

Section XI. Governing Law and Dispute Resolution

11.1 Governing Law: These Terms are governed by and construed in accordance with the laws of the jurisdiction in which EnRoute Managed Services is established in the Commonwealth of Virginia, United States of America, without regard to its conflict of law principles.

11.2 Dispute Resolution: Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in the Commonwealth of Virginia, United States of America. Users waive the right to participate in class actions.

Section XII. Miscellaneous

XII.1 Entire Agreement: These Terms, along with the Privacy Policy and Cancellation & Refund Policy, constitute the entire agreement between Users and EnRoute Managed Services regarding the use of the Platform.

XII.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

XII.3 Waiver: Failure by EnRoute Managed Services to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
